Perhaps one party has found the deal unprofitable and refuses to pay or perform. The ambiguity of a poorly drafted contract may bring matters to a head. Was there an "unwritten agreement," implied warranty or misrepresentation? Sometimes the dispute escalates to allegations of fraud or tortious interference.
